Membership Program Terms of Service

By signing up to the BOLT Nation Membership Program offered by BRUCE BOLT, LLC (the “Program”), you agree to be legally bound by these Membership Program Terms of Service ("Program Terms"), the BRUCE BOLT Terms of Use ("TOU"), and BRUCE BOLT Privacy Policy so please read them carefully, and let us know if you have any questions or concerns. 

1. Eligibility; Household Use

1.1 Household Only. The Program is intended for a single household, meaning individuals who share the same primary residential address in the United States (“Household”).

1.2 One Account Per Household. Enrollment in the Program is liked to your BRUCE BOLT customer account. Creating or maintaining multiple Program accounts for the same Household is prohibited.

1.3 Personal, Non-Commercial Use. Program benefits may only be used for personal, non-commercial purposes. Purchases for resale, team/organization outfitting, or bulk purchasing are not eligible for Program benefits and may be cancelled at BRUCE BOLT's sole discretion.

2. Enrollment; Verification

2.1 Account Required. You must create and remain signed into your BRUCE BOLT customer account to access Program benefits.

2.2 Information Accuracy. You agree to keep your account information (name, email, primary address, payment method) current and accurate.

2.3 Verification. BRUCE BOLT may verify eligibility, including Household status, and may require reasonable proof of residency or identity where misuse or fraud is suspected.

3. Tiers; Benefits

3.1 Tiers. The Program may include multiple paid tiers (e.g., SELECT and PRO) with different benefits for each, as described on the Program page of the BRUCE BOLT website and/or in your account dashboard (collectively, “Program Materials”).

3.2 Benefits Descriptions. Benefits may include member-only pricing and offers (e.g., BRUCIE’S Locker), shipping benefits, early access to product releases, store credits, content/community access (e.g., “Behind the Bolt,” social media groups), product testing/advisory invitations, and pre-order access to select releases. Benefits are subject to change at any time per Section 11 below.

3.3 Referral Program. Benefits may also include one or more unique referral links for you to share with friends who have never purchased products from BRUCE BOLT. You may not use referral links for purchases you make. Unused referral links will expire upon expiration or termination of your membership. Certain tiers of membership may also include a store credit when eligible purchases are made using a referral link, subject to Section 5 below.

3.4 No Guarantee of Availability. All benefits are offered “while supplies last” or for the time periods stated in the Program Materials and may be subject to certain product or category exclusions. BRUCE BOLT does not guarantee the availability of any given product or Program benefit.

3.5. Additional Requirements. Some benefits may be subject to additional requirements. 

4. Use Restrictions

4.1 No Sharing or Public Posting. Do not share or post member-only pricing, discount codes, or access links publicly or with non-Household individuals.

4.2 No Stacking/Workarounds. BRUCE BOLT has sole discretion to refuse to combine any Program benefits with other Program benefits or non-Program promotions, discounts, or codes. Attempting to circumvent eligibility rules (e.g., splitting orders, opening duplicate accounts) is prohibited.

4.3 Order Limits. To ensure fair access, BRUCE BOLT may, in its sole discretion, limit purchase quantities per product, order, account, or Household and may cancel orders that exceed such limits or reflect non-personal use.

5. Credits and Promotional Value

5.1 Promotional Nature. Any credits issued as benefits under the Program are promotional only, have no cash value, are non-transferable, and may not be redeemed for cash, refunds, or gift cards.

5.2 Sign-Up Credits. Unless otherwise stated, sign-up credits are limited to one per Household. Duplicate or fraudulent claims may be voided.

5.3 Referral Credits. Referral credits will be applied to the member’s account only following completion of a qualifying purchase by the new customer using the referral link. Purchases that are cancelled, returned, refunded, charged back, or otherwise reversed or invalidated are not eligible for referral credits. BRUCE BOLT has the right, in its sole discretion, to reverse or cancel a credit already issued if it deems the associated purchase to be ineligible, and to withhold or delay issuing a referral credit while it makes a determination of eligibility.

5.4 Expiration. All credits expire precisely 89 days from the date and time of issuance, measured in local time at the place of issuance. Expiration occurs at the same hour and minute as issuance on the final day. Expired credits will not be reinstated unless required by law.

5.5 Exclusions. Unless otherwise noted, credits do not apply to gift cards, shipping protection, or shipping.

6. Shipping Benefits

6.1 Qualifying Purchases. Shipping benefits (e.g., free or discounted shipping above a stated threshold) apply to qualifying merchandise totals after discounts and before taxes and fees, subject to product/region exclusions.

6.2 Exclusions. Unless otherwise noted, shipping benefits do not apply to oversized/heavy items, expedited shipping, or locations outside the United States.

7. Content; Community Standards

7.1 Exclusive Content. Access to exclusive content or communities (including “Behind the Bolt,” social media close-friends groups, or private DM threads) is for members only and may not be recorded, copied, redistributed, or otherwise shared in other way.

7.2 Conduct. If you participate in any Program benefits that allow you to post to Program-related social media or otherwise communicate or interact with others (collectively, “Communications”), you agree that:

• The content of your Communications will be relevant and appropriate to the context in which they are made. Among other things, this means that promotions and spam are prohibited.
• You will be truthful in all Communications you share.
• You will share only content that you have the rights to share, and nothing in your Communications will infringe the rights of anyone else, including but not limited to copyrights or other intellectual property rights.
• You will not bully, intimidate, or harass any person or otherwise treat any person in an intentionally demeaning or hurtful manner.
• You will not share content that constitutes hate speech or defamation, is threatening, infringes someone else’s privacy, or is in any other way inappropriate.
  

If you violate these rules, BRUCE BOLT may, in its sole discretion, remove access to one or more such benefits or suspend or terminate your Program account.

7.3 Content License. You grant BRUCE BOLT a non-exclusive, worldwide, royalty-free, perpetual license to use any of your Communications, including but not limited to, photographs and videos, for any lawful purpose, including but not limited to the rights to reproduce, distribute to the public, and publicly perform or display your Communications.

7.4 Third-Party Platforms. When Program benefits are accessed or administered through third-party platforms (e.g., Instagram), your use of those benefits is subject to those platforms’ terms. BRUCE BOLT is not responsible for third-party services or your experience using them.

8. Product Testing; Feedback

8.1 Invite-Only. Program benefits may include invitations to test products, participate in surveys, or otherwise provide your feedback. You may be required to consent to additional terms, including non-disclosure agreements, prior to, and as a condition of, participating in such activities.

8.2 Your Participation. Your participation in invitation-only activities is subject to these Program Terms, including the Conduct rules above.

8.3 Feedback License. You grant BRUCE BOLT a non-exclusive, worldwide, royalty-free, perpetual license to use any information that you provide to BRUCE BOLT during the course of participating in such invitation-only activities, including but not limited to, photographs and videos, for any lawful purpose, including but not limited to the rights to reproduce, distribute to the public, and publicly perform or display the information you provide.

9. Returns; Adjustments

9.1 Standard Policy. Returns and exchanges for Program purchases follow BRUCE BOLT’s then-current Return Policy. Pre-order purchases are additionally governed by Section 3A.

9.2 No Price Adjustments. Unless required by law, Program discounts do not entitle you to price adjustments on prior purchases.

10. Fraud Review; Enforcement

10.1 Review. BRUCE BOLT may review Program accounts and orders for potential misuse, including but not limited to code sharing, duplicate accounts, fraudulent accounts, duplicate or otherwise unauthorized attempts to claim Program benefits,  excessive returns/chargebacks, unusual purchasing patterns, and non-personal/bulk purchasing.

10.2 Remedies. If BRUCE BOLT determines, in its sole discretion, that such misuse has occurred, it may, with or without notice as permitted by law, (a) limit or suspend benefits, (b) cancel orders, (c) revoke credits, (d) terminate Program enrollment, and/or (e) close associated BRUCE BOLT accounts.

10.3 Cooperation. You agree to cooperate with reasonable requests related to fraud prevention and compliance.

11. Changes to the Program

11.1 Right to Modify or Terminate. BRUCE BOLT may modify, suspend, or terminate the Program, any tier, or any benefit, including but not limited to or reviseing eligibility criteria and exclusions, at any time.

11.2 Notice. For material changes to paid tiers (e.g., price, material benefits), BRUCE BOLT will provide advance notice as required by applicable law and will honor any statutory cancellation rights.

12. Paid Tiers; Auto-Renewal; Cancellation

12.1 Subscription. Paid tiers (e.g., PRO) are annual subscriptions that automatically renew for an additional year unless cancelled.

12.2 Billing Authorization. You authorize BRUCE BOLT (or its payment processor) to charge your payment method at enrollment and each renewal until you cancel. Your failure to keep payment information current may result in loss of Program benefits.

12.3 How to Cancel. You may cancel renewal at any time via your account settings or by contacting support at team@brucebolt.us. Cancellation prevents future renewal charges;  you will continue to receive all Program benefits through the current paid term.

12.4 Refunds. Fees for paid tiers are non-refundable once any benefit under the current term is issued (e.g., credit redemption, free shipping used, exclusive offer purchased), except where required by law.

12.5 Price Changes. BRUCE BOLT may change subscription pricing prospectively; notice will be provided as required by law, with instructions on how to cancel before the change takes effect.

13. Errors; Cancellations; Force Majeure

13.1 Errors. BRUCE BOLT may, in its sole discretion, correct pricing or typographical errors and cancel or refuse orders placed in reliance on such errors, with a refund of any amounts paid.

13.2 Force Majeure. BRUCE BOLT will not be responsible for any delays in the fulfillment of Program benefits or its failure to provide Program benefits when such delay or failure is due to an event beyond BRUCE BOLT’s reasonable control.

14. Privacy; Data Use

14.1 Privacy Policy. BRUCE BOLT’s collection, use, and retention of your Personal Information is subject to BRUCE BOLT’s Privacy Policy.

15. Disputes; Governing Terms

15.1 Dispute Resolution. Disputes arising from or related to the Program are subject to the TOS dispute resolution provisions.

15.2 Severability. If any provision of these Program Terms is held invalid, the remaining provisions remain in full force and effect.
